This End User License Agreement (“Agreement”) is a legal agreement between you (either an individual or a single entity) and Intuit Inc. (“Intuit”) for the use of QuickBooks software (“Software”). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.
1. LICENSE GRANT
Subject to the terms and conditions of this Agreement, Intuit grants you a limited, non-exclusive, non-transferable license to:
- Install and use one (1) copy of the Software on a single device for internal business purposes only;
Use the Software solely as permitted in the accompanying documentation.
2. LICENSE RESTRICTIONS
You may not:
Copy, distribute, or sublicense the Software;
Modify, adapt, reverse engineer, decompile, disassemble, or create derivative works of the Software;
Use the Software to provide services to third parties;
Circumvent any security measures or licensing mechanisms embedded in the Software.
3. OWNERSHIP
The Software is licensed, not sold. Intuit and its licensors retain all rights, title, and interest in and to the Software, including all intellectual property rights.
4. SUPPORT AND UPDATES
This license does not entitle you to any support, maintenance, or updates for the Software unless otherwise specified in a separate support agreement. Updates may be offered at Intuit’s discretion.
5. TERMINATION
This Agreement is effective until terminated. It will terminate automatically without notice if you breach any of its terms. Upon termination, you must immediately cease all use of the Software and destroy all copies.
6. DISCLAIMER OF WARRANTY
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. INTUIT DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. LIMITATION OF LIABILITY
IN NO EVENT WILL INTUIT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF INTUIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. GOVERNING LAW
This Agreement will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and Intuit regarding the Software and supersedes any prior agreements or understandings, whether written or oral.
